External-counsel onboarding should establish the matter, authorised client contacts and the work the firm has agreed to perform. Sending a large document folder to a lawyer does not create a clear engagement. Confirm the appropriate professional arrangement and let qualified counsel advise on legal strategy, while procurement coordinates scope, fees and the administrative controls needed to support the work.

## Define the client and matter

Identify the legal entity instructing the firm, the matter description and the business decision requiring advice. Ask counsel to determine what information is needed for conflicts and acceptance checks before sharing unnecessary confidential detail. A group relationship should not leave the firm uncertain about which entity it represents.

Describe the jurisdictions or forums potentially involved and ask the firm to explain its proposed role and any additional counsel needed. Do not assume that a firm's presence in the UAE establishes every form of representation or specialist capability the matter may require.

## Agree instructions and authority

Name the buyer's authorised instructing contact and the firm's responsible lawyer. Establish who can approve scope changes, settlement instructions or other material decisions appropriate to the matter. Procurement should not make legal-strategy choices simply because it administers the purchase order.

For example, a contract review may involve both legal risk and commercial negotiation. Counsel should identify the legal considerations, while the authorised business owner decides the commercial position with appropriate advice. The engagement needs a clear route for that decision rather than conflicting instructions from several departments.

## Set the fee and information process

Agree the scope, deliverables, fee basis, expenses and approval rules for additional work. Ask how assumptions and material changes will be reported. Use secure document channels approved for the engagement and have counsel advise on confidentiality and any privilege-related considerations; do not assume that every communication is protected merely because a lawyer is copied.

Confirm file access, reporting and closure arrangements. The buyer should understand what records it will receive and any conditions relevant to transfer or retention. Keep administrative invoice detail proportionate without exposing unnecessary sensitive matter information.

## Test the first work instruction

Use a clear initial request and ask the firm to confirm understanding, required information and next steps. Resolve ambiguities before the matter expands. A successful onboarding process gives the lawyer a coherent instruction and the client a usable governance structure, while preserving the distinction between buying legal services and directing professional legal judgment through a generic supplier workflow.
