The main compliance question when purchasing through a holding company is often who has authority to promise what. A familiar group brand can obscure differences between ownership, management, contracting and delivery. Build the review around the proposed transaction and relevant entities, rather than asking for a generic folder labelled group compliance.

## Establish the legal identity of each party

Obtain the exact name and registration details of the counterparty. Compare these with the agreement, commercial offer and payment request. Use the applicable official enquiry channel to verify available business-licence information. The UAE government's verification directory provides routes to several licensing authorities; the appropriate route depends on the entity's registration.

If the holding company proposes to contract while a subsidiary delivers, ask for the contractual explanation. Identify whether the subsidiary is a subcontractor, a co-contracting party or acting under another documented arrangement. These descriptions have consequences that should be reviewed by qualified legal advisers for the actual agreement.

## Check authority without inventing a universal document list

Ask your legal team which evidence is appropriate to confirm the signatory's authority for this entity and transaction. A business card, group email address or senior job title should not be treated as a substitute. Record any limits relevant to the proposed commitment, including whether a separate approval is needed for a guarantee or assignment.

Keep sensitive corporate documents in the buyer's controlled due-diligence process. The operational supplier file can record that a review was completed without distributing personal identity information or confidential ownership documents to everyone placing orders.

## Separate corporate evidence from service permissions

Ownership of a licensed subsidiary does not establish that every entity in a group may perform the same activity. Ask the actual delivery entity to identify the permissions relevant to its scope and operating locations. Refer sector-specific questions to the appropriate regulator or qualified adviser rather than extrapolating from the holding company's commercial description.

For example, a group-wide services offer might combine property management and a regulated professional service. Each workstream needs an appropriate delivery arrangement. A single corporate registration check cannot resolve the professional-service requirements.

## Close the review with exceptions visible

Use separate fields for identity, signing authority, delivery authority and payment arrangements. Assign an owner to every unresolved item and make the release decision explicit. Revisit the record when the contracting entity, signatory or delivery structure changes. A dated, transaction-specific review is more defensible than an undated statement that the whole group is approved.
