How to choose a lead adviser for a UAE finance-and-legal project

Define the coordination problem

Describe the business decision, required outputs and known interfaces between financial and legal work. Ask whether the lead adviser will manage the programme, provide one technical workstream or contract other specialists. These are different roles and should be priced and assessed separately.

Identify what the organisation will retain internally, such as document ownership, executive decisions and approval of professional appointments. A lead role should not silently transfer authority that the business intends to keep.

Test the proposed operating method

Ask the candidate to show how it will maintain the assumption register, document versions, dependencies and unresolved issues. Request an example of the deliverable structure without seeking confidential client material. Look for a method that makes disagreement visible rather than compressing every professional view into a premature consensus.

For example, a financial analysis may depend on a contractual right that counsel has not confirmed. The lead adviser should identify that dependency and prevent the model from being presented as unconditional evidence.

Examine team and specialist accountability

Confirm who performs the work and who reviews it. Ask how another specialist is selected, contracted and introduced to the project. Have the relevant professional reviewers assess status, conflicts and suitability for each defined role.

If the lead adviser proposes a network firm, establish whether the buyer has a direct engagement or relies on a subcontracting arrangement. The business should understand who issues the final advice and the terms governing its use.

Compare evidence of similar coordination

Ask references about projects with comparable workstream dependencies. Explore whether inputs were reconciled, decisions were escalated promptly and final outputs could be used together. A reference about a strong standalone report may offer limited evidence about managing several advisers.

Document the lead role, limits and acceptance criteria in the engagement. Select the candidate whose coordination method fits the project and whose responsibilities remain clear when professional views differ. Effective leadership makes those differences understandable to the decision-maker rather than hiding them behind a broad claim to provide every service under one roof.
