Advisory proposal warning signs in UAE finance-and-legal projects

In brief

A finance-and-legal proposal deserves scrutiny when it promises a result without defining the work, evidence or professional responsibility behind it. Warning signs are reasons to clarify the engagement, not automatic proof that a firm is unsuitable. The buyer should be able to identify what each adviser will assess and where uncertainty remains.

Guaranteed outcomes without a defined basis

Be cautious about promises of a particular financing, transaction or legal result. Ask the adviser to explain the service it can commit to deliver and the factors outside its control. A professional engagement should distinguish analysis and advice from the business outcome management hopes to achieve.

Do not reward certainty of tone over a disciplined description of assumptions and limitations. An adviser who identifies missing evidence may be providing more useful information than one who immediately endorses the preferred plan.

Scope that leaves the interfaces empty

Check who reconciles financial assumptions with legal findings. Two substantial reports can still leave the central question unanswered if each excludes the point where they connect. Ask for a concrete example of how a material change moves between workstreams.

For example, a model may rely on a contractual mechanism that the legal scope does not assess. The buyer needs that gap resolved in the engagement plan rather than discovered after both teams claim completion.

Broad status claims and unnamed delivery teams

Verify the exact entity and relevant professional or regulatory status for the defined service and jurisdiction. A network logo or claim of being regulated does not explain every firm's permissions. Ask who will perform, review and issue each output.

Have the appropriate professionals assess conflicts and engagement terms. Avoid treating a generic declaration or a sales presentation as a substitute for matter-specific review.

Fees that conceal likely additional work

Ask about evidence limits, revision assumptions, specialist costs and approval of extra scope. A low fixed fee can be difficult to evaluate if essential records or entities are excluded. Require a common scope comparison before choosing.

Retain the clarifications in the engagement documents. If a material issue remains unresolved, narrow or stage the assignment until the business can make an informed commitment. A transparent proposal may contain limitations; the concern is an offer whose boundaries cannot be understood well enough to manage the professional work responsibly.
