Verify identity and the proposed scope
Confirm the contracting entity and relevant business information through the appropriate official enquiry route. The UAE government's business-licence directory identifies several federal and emirate channels. Record the entity checked and date, and reconcile the name with the offer and agreement.
Ask the consultant to describe the work precisely. General management advice should be distinguished from regulated legal, financial, engineering or other professional activities. Where the scope crosses into a regulated area, obtain qualified advice on the relevant provider and authority requirements rather than assuming a management-consultancy description covers everything.
Review conflicts and independence
Ask the firm to disclose relevant relationships that could affect the engagement, including supplier commissions, implementation partnerships or involvement in a competing assignment. Define how new conflicts will be reported. A disclosure should enable a decision about the actual risk, not become a box ticked once at contract signature.
For example, a consultant recommending a new operating system may also earn revenue from its implementation. That relationship does not automatically invalidate the advice, but the buyer should understand it and decide how alternatives and evaluation evidence will be handled.
Establish information and interview controls
Identify what data the consultant needs, why it is needed and who approves access. Use the buyer's legal and security review for confidentiality, personal information, storage and cross-border processing questions relevant to the engagement. Avoid collecting employee-level data when aggregated information would answer the analysis question.
Explain interview purpose and reporting arrangements to participants. Agree whether remarks will be attributed and how working notes will be handled. Do not promise anonymity unless the engagement's process can support that promise.
Keep the decision record specific
Document the approved scope, reviewers, access conditions and unresolved actions. Revisit the review when the consultant adds a subcontractor, changes data-processing arrangements or proposes a materially different service. A dated engagement-specific record gives the buyer stronger control than an unrestricted declaration that the firm is compliant for all advisory work.
