A scoping workshop before appointing a UAE adviser team

In brief

A scoping workshop can reveal whether financial and legal advisers understand the same project before the business commits to a large engagement. It should produce a clearer work plan and evidence map, not free substantive advice or a premature endorsement of management's preferred outcome. Define the workshop's purpose and commercial basis in advance.

It should produce a clearer work plan and evidence map, not free substantive advice or a premature endorsement of management's preferred outcome. Define the workshop's purpose and commercial basis in advance.

Provide a controlled factual brief

Describe the entities, jurisdictions, project objective, known records and timetable. Share only information appropriate for the stage and agreed confidentiality arrangements, with legal counsel determining matter-specific requirements. Ask candidates to identify assumptions and questions rather than fill gaps with confident guesses.

If conflicts or professional-status checks are needed before discussion, complete the relevant process. A workshop should not bypass the conditions under which an adviser can properly consider the matter.

Test the proposed workstream boundaries

Ask the team to outline the financial analysis, legal work and coordination required. Identify who owns each deliverable and where another specialist may be necessary. Challenge overlap and gaps without trying to force every service into one firm's capability.

For example, the project may require a commercial assumption to be confirmed before either drafting or modelling can proceed. The workshop should assign that question to the appropriate owner and show its effect on the schedule.

Examine how disagreement will be handled

Present a plausible inconsistency in the available information and ask how the team would investigate it. The useful signal is a disciplined response: identify the evidence, explain the professional remit and record what remains unresolved. An immediate assurance that everything can be reconciled may provide less evidence of judgement.

Request a proposed issue register or deliverable outline. Use anonymised formats or newly created examples rather than ask advisers to disclose another client's confidential material.

Turn the workshop into an appointment decision

Record the refined scope, assumptions, dependencies and remaining questions. Compare the team's proposed method with the business's needs and obtain the relevant professional assessment of suitability. Confirm fees and engagement terms separately before authorising substantive work.

A successful workshop may narrow the initial assignment or identify a need for another specialist. That is useful progress when it prevents an ill-defined engagement. The outcome should be a better-supported purchasing decision and a practical starting point, not a workshop score that claims to predict the quality of every future professional conclusion.
